Service availability may be affected by factors beyond our control, including internet connectivity, third-party services, and force majeure events.

Limitation of Liability

To the maximum extent permitted by applicable law, astroprouxae's liability is limited as follows:

Exclusion of Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or operational delays
• Cost of substitute services or products
• Damage to reputation or goodwill

Limitation of Liability

Our total liability for all claims arising from or related to these terms or our services shall not exceed the total fees paid by you to astroprouxae in the 12 months preceding the event giving rise to liability.

Basis of Bargain

These limitations reflect the allocation of risk between the parties and form an essential basis of our agreement. Our pricing reflects these limited warranties and liabilities.

Note: Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you to the extent prohibited by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless astroprouxae, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising from or relating to:

• Your breach of any representation, warranty, or obligation
• Your violation of applicable laws or third-party rights

These terms of service are governed by and construed in accordance with the laws of Austria, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Graz, Austria. Both parties consent to the personal jurisdiction of such courts.

European Union Law

Where applicable, European Union law and regulations shall take precedence over conflicting provisions of Austrian national law. This includes but is not limited to:

• General Data Protection Regulation (GDPR)
• Consumer protection directives
• Electronic commerce regulations
• Competition and antitrust laws

Alternative Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt resolution through good faith negotiations. We may also participate in relevant alternative dispute resolution mechanisms as required by applicable law.

Termination

These terms remain in effect until terminated by either party in accordance with the provisions below.

Termination by You

• You may terminate your account and services at any time with written notice
• Termination notice periods are specified in individual service agreements
• You remain responsible for fees incurred prior to termination
• Data export assistance may be provided subject to technical feasibility

Termination by Us

We may terminate or suspend your access to services:

• For material breach of these terms or service agreements
• For non-payment of fees after appropriate notice
• For violation of applicable laws or regulations
• Upon discontinuation of services with reasonable notice

Effect of Termination

• Access to services will be discontinued
• Data may be deleted after a reasonable retention period
• Confidentiality obligations survive termination
• Outstanding fees and obligations remain due

Force Majeure

Neither party shall be liable for any failure or delay in performance under these terms due to circumstances beyond their reasonable control, including but not limited to:

• Natural disasters, epidemics, or pandemics
• War, terrorism, or civil unrest
• Government actions or regulatory changes
• Internet or telecommunications failures
• Third-party service provider failures
• Labour strikes or disputes

The affected party shall promptly notify the other party of any force majeure event and use reasonable efforts to mitigate its impact and resume performance.

General Provisions

Entire Agreement

These terms, together with any applicable service agreements and our privacy policy, constitute the entire agreement between you and astroprouxae regarding the use of our services.

Modifications

We may update these terms from time to time. Material changes will be communicated with reasonable advance notice. Continued use of our services after changes become effective constitutes acceptance of the updated terms.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Assignment

You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets with reasonable notice to you.

Waiver

No waiver of any term or condition shall be deemed a waiver of any other term or condition, nor shall any waiver constitute a continuing waiver unless expressly stated in writing.
